Acceptance of Terms
By accessing or using the services provided by edge ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the updated terms.
Services Provided
edge provides digital services including but not limited to: Meta platform digital marketing, IT outsourcing, IT consulting, equipment procurement, and related technology services.
The specific scope, deliverables, and timelines for services are defined in individual service agreements or statements of work between edge and the client.
Client Obligations
Clients agree to provide accurate and complete information necessary for the delivery of services. Clients are responsible for maintaining the confidentiality of their account credentials.
Clients must comply with all applicable laws and regulations in connection with their use of our services, including data protection and advertising regulations.
Payment Terms
Payment terms are specified in individual service agreements. Unless otherwise agreed, invoices are due within 15 business days of issuance. Late payments may incur interest at 1.5% per month.
All fees are quoted in Georgian Lari (GEL) or US Dollars (USD) as specified in the service agreement. Prices do not include applicable taxes unless stated otherwise.
Intellectual Property
Upon full payment, clients receive ownership of deliverables created specifically for them, unless otherwise specified in the service agreement. edge retains ownership of pre-existing tools, frameworks, and methodologies.
edge may use anonymized case studies and portfolio examples of completed work for marketing purposes, unless a non-disclosure agreement states otherwise.
Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This obligation survives termination of the service agreement for a period of two (2) years.
Limitation of Liability
To the maximum extent permitted by law, edge's total liability for any claims arising from the services shall not exceed the fees paid by the client for the specific services giving rise to the claim.
edge shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption, regardless of the cause of action.
Termination
Either party may terminate a service agreement with 30 days' written notice. Upon termination, the client is responsible for payment of all services rendered up to the termination date.
edge may terminate services immediately if the client breaches these terms or fails to make timely payments after reasonable notice.
Governing Law
These terms are governed by the laws of Georgia. Any disputes arising from these terms or related services shall be resolved through the courts of Tbilisi, Georgia, unless both parties agree to alternative dispute resolution.
